Welcome to the Muxics India website, located at www.Muxics.in (the “Site”). The following Terms of Service (“Terms”) contain the terms and conditions that govern your use of the Site. By accessing and using the services provided by Muxics India Distribution Services LLP (“Muxics.in” or “we”), you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue your use of the Site immediately.

The services offered on this Site are provided by Muxics India Distribution Services LLP (“Muxics.in” or “we”) to you, the user (“you” or “your”), subject to your acceptance of these Terms. By using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as the Muxics.in Privacy Policy, and other agreements that may apply. If you are using the Site on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” will refer to that entity.

Muxics.in reserves the right to update or modify these Terms from time to time. We will notify you by email or by posting a notice on the Site regarding any significant changes to the Terms. Such changes will take effect thirty (30) days after they are communicated to you. Your continued use of the Site after such notification will constitute your agreement to the updated Terms.

DEFINITIONS
For the purpose of these Terms, the following definitions apply:
1. Content:Refers to all materials such as album art, lyrics, graphics, photographs, metadata, descriptions, and other media that are uploaded to the Platform by Users in accordance with these Terms.
2. Distribution Plan:Refers to the service plan selected by the User for the distribution of their Songs and Videos.
3. Platform:R efers to Muxics.in’s proprietary platform and associated technology made available through the Site.
4. Services:Refers to the digital distribution services provided by Muxics.in, which include:
  1. Distributing Songs and Videos to authorized digital stores and streaming platforms,
  2. Collecting streaming revenues and paying the appropriate shares to Users in accordance with the Distribution Plan,
  3. Providing marketing, promotional, and analytical services.
5. Song(s):Refers to sound recordings (including the underlying musical compositions) uploaded by Users for distribution through the Platform.
6. User(s):Refers to the individual or legal entity accessing or using the Site and/or Services, whether with a registered account or not.
7. Video(s):Refers to audio-visual recordings (including the underlying works) uploaded by Users for distribution in accordance with the applicable Distribution Plan.
USE OF THE SITE, PLATFORM & SERVICES
1. License:Your use of the Site and Services is subject to a personal, non-exclusive, non-transferable license granted to you for your own personal or internal business use. This license does not entitle you or any authorized third parties to make commercial use of the Site or Services beyond what is intended by Muxics.in.
2. Eligibility:The Services are intended for individuals who are at least 18 years old or for legal entities that can enter into a contract under applicable law. If you are under 18, you may only use the Site with the permission of your parent or legal guardian.
3. Original Content Only:Only original content is allowed on our platform. Muxics.in does not allow remixes, mashups, covers, or lo-fi content unless you are the owner or hold 100% of the rights to such content.
4. Prohibited Activities:You are strictly prohibited from engaging in any of the following activities:
  1. Reproducing, distributing, or transmitting the software or any material on the Site for purposes other than your use of the Services;
  2. Using any Content on the Site or Platform for unauthorized commercial purposes;
  3. Reverse-engineering or decompiling any part of the Site, Platform, or associated software;
  4. Removing any copyright or proprietary notices on Songs, Videos, or any other material made available via the Platform;
  5. Transferring or making available any material from the Platform to unauthorized third-party servers or services;
  6. Interfering with the operation of the Site, Platform, or Services in any fraudulent, negligent, or unauthorized manner;
  7. Uploading political or anti-social content, which is strictly prohibited on Muxics.in.
5. Termination:Any violation of these provisions, especially this Clause, will result in the immediate termination of your license to use the Site, Platform, and Services. In such a case, you must delete or destroy any downloaded Content or material obtained from the Site. Muxics.in reserves the right to take legal action to enforce its rights under law.
6. Copyright Infringement:Any act of copyright infringement will result in the suspension or termination of your Muxics.in India membership. If you upload content that violates copyright laws, Muxics.in reserves the right to terminate your access and remove the infringing content from our platform.
7. Misuse of YouTube Content ID:if Muxics.in India detects that your content is being used inappropriately on YouTube (e.g., attached to popular songs, movies, or other popular content not related to your original work), Muxics.in reserves the right to remove your content from platforms and withhold any revenue generated from such content.
8. Artificial Stream Inflation:If any user is found to be using bots or other artificial means to inflate stream counts on any streaming platform, Muxics.in will take strict action, including termination of your account, withholding of payments, and legal recourse if necessary.
OWNERSHIP & INTELLECTUAL PROPERTY
1. Ownership:Muxics.in retains all rights, titles, and interests in the Site, Platform, and Services, including all copies, modifications, and associated intellectual property rights. No rights are granted to you other than those expressly provided under these Terms.
2. Trademarks:The trademarks, logos, and service marks (“Trademarks”) displayed on the Site are owned by Muxics.in or third-party partners. Nothing in these Terms or on the Site grants you any license or right to use any Trademark without the express written permission of the trademark owner. Any unauthorized use of the Trademarks is prohibited.
3. Songs, Videos, and Content:By uploading Songs, Videos, or other Content to the Platform, you warrant that you own or have the necessary rights to distribute such materials. You retain ownership of your Songs, Videos, and Content, but grant Muxics.in a license to distribute these materials through the Platform in accordance with your Distribution Plan. Muxics.in is not liable for any infringement claims related to the Content provided by Users.
INTELLECTUAL PROPERTY VIOLATIONS
1. Copyright Claims:If you believe your copyrighted work is being infringed on the Site, you may submit a notice to Muxics.in. The notice should include the following:
  1. Identification of the infringing content;
  2. Contact details of the copyright owner or their authorized representative;
  3. Information about the original work, including its date and location of first publication.
2. Content Removal: Muxics.in may, in good faith, remove or disable access to Songs, Videos, or Content that it deems to infringe upon intellectual property rights. Muxics.in reserves the right to terminate accounts of repeat infringers.
3. Review Requests:Users whose Content is removed due to a copyright claim may request a review of the decision, providing sufficient evidence for the reinstatement of the Content.
USE OF DATA & PRIVACY
1. Data Usage: Muxics.in may use, modify, and store your data in connection with providing the Services, as outlined in the Muxics.in Privacy Policy. This includes the right to use your data for analytics, reporting, and marketing purposes. Muxics.in may also access your account to provide technical support or maintenance.
2. Marketing and Promotions:Muxics.in reserves the right to use your name, image, or company name as part of its marketing or promotional materials. You may opt out by contacting us via email.
3. Feedback:Any feedback or suggestions you provide to Muxics.in may be used to improve the Services. Muxics.in reserves the right to use such feedback without any obligation to compensate you.
THIRD-PARTY WEBSITES & SERVICES
The Site may contain links to external websites and services. These links are provided solely for your convenience and do not imply endorsement by Muxics.in. Muxics.in is not responsible for the content, accuracy, or practices of any third-party sites. You should exercise caution when interacting with third-party websites and take appropriate precautions to protect your devices from viruses or harmful content.
REPRESENTATIONS & WARRANTIES
You represent and warrant that:
1. You have the legal authority to enter into these Terms and to perform your obligations under them;
2. Your use of the Site and Services will not infringe upon the intellectual property or other rights of third parties, and will comply with all applicable laws and regulations;
3. You are at least 18 years old, or if under 18, have obtained the consent of your parent or legal guardian.
DISCLAIMER OF WARRANTIES
The Site, Platform, and Services are provided on an "as is" and "as available" basis. Muxics.in makes no warranties or representations, either express or implied, regarding the operation or availability of the Site, including without limitation the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Muxics.in does not guarantee that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.
LIMITATION OF LIABILITY
To the extent permitted by law, Muxics.in shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of business, or data, arising from your use of the Site or Services. Muxics.in’ total liability to you for all damages, losses, or causes of action shall not exceed ₹7,500 or its equivalent in local currency.
INDEMNIFICATION
You agree to indemnify and hold Muxics.in harmless from any claims, damages, losses, or expenses arising from your breach of these Terms, including but not limited to intellectual property claims or the unauthorized use of the Services. Muxics.in reserves the right to assume the exclusive defense of any such claim, and you agree to cooperate fully in any such defense.
ASSIGNMENT
You may not assign your rights or obligations under these Terms without the prior written consent of Muxics.in. Muxics.in may assign or transfer these Terms at any time without restriction.
MISCELLANEOUS
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. The failure of Muxics.in to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Bhopal (M.P), India, for the resolution of any disputes arising from or related to these Terms or your use of the Site.
